IP Transfer Policy

1. Our Principle

At PM Technology, we believe that if you pay for software to be built, you should own it completely. No strings attached, no hidden licences, no vendor lock-in. This policy outlines exactly what gets transferred, when it happens, and what guarantees you receive.

2. Full Ownership Transfer

Upon full and final payment for any project engagement, PM Technology transfers 100% of all intellectual property rights in the deliverables to the client. This includes all copyrights, source code rights, database design rights, and any other intellectual property created as part of the engagement. PM Technology retains no licence, usage rights, or ownership of any kind.

3. What Is Transferred

The complete IP transfer includes:

• Source Code: All application code (frontend, backend, APIs, scripts, utilities) in its entirety, including version control history when delivered via Git repository.
• Database Schemas: All database structures, migrations, seed data, stored procedures, and views created for the project.
• Infrastructure Configurations: Deployment configurations, CI/CD pipelines, environment variables (excluding PM Technology’s own service accounts), Docker files, and server setup scripts.
• Documentation: Technical documentation, API documentation, architecture decision records, setup guides, and any internal wikis or READMEs created during the project.
• Design Assets: UI/UX design files, wireframes, prototypes, icons, and illustrations created specifically for the project.
• Third-Party Licences: A complete list of all third-party libraries, frameworks, and tools used in the project, along with their licence types, so you can verify compliance independently.

4. No Licensing Traps

We explicitly guarantee the following:

• No recurring licence fees for any code we write.
• No proprietary frameworks or libraries that require a PM Technology subscription to use.
• No “shared component” dependencies that tie your project to our other clients’ projects.
• No restrictions on your ability to modify, extend, resell, or relicense the delivered code.
• No claims or rights retained by PM Technology after the transfer is complete.

5. Handover Process

Our standard handover process includes:

1. Code Repository Transfer: We transfer the Git repository to your GitHub, GitLab, or Bitbucket organisation. You receive full commit history and all branches.
2. Infrastructure Access Handover: All cloud service accounts, hosting credentials, domain configurations, and third-party API keys are transferred or reconfigured under your accounts.
3. Documentation Walkthrough: A 1–2 hour video or live session walking through the codebase architecture, deployment process, and key technical decisions.
4. IP Transfer Certificate: A signed document confirming the complete transfer of intellectual property rights, listing all deliverables transferred.
5. Post-Handover Support: 30 days of bug-fix support for issues related to the delivered scope, at no additional cost.

6. Open-Source Components

Some projects use open-source libraries and frameworks (e.g., React, Next.js, PostgreSQL). These components remain under their respective open-source licences. We ensure that all open-source dependencies used are compatible with commercial use (MIT, Apache 2.0, BSD, etc.) and provide a full dependency audit upon request.

7. Retainer Engagements

For monthly retainer engagements, IP transfer occurs on a rolling basis — all work produced during each paid month becomes your property at the end of that billing period. If the retainer ends, you retain complete ownership of everything built during the engagement.
